Terms of Service
These terms govern the use of metaadsagency.com and the agency service sold on it. They are published by the administrator of the metaadsagency.com service, who can be reached at [email protected]. Creating an account or paying for a plan means you accept them.
1Who these terms apply to
The service is built for businesses that advertise on Facebook and Instagram, such as online stores, subscription brands, app companies and lead generation teams. If you sign up on behalf of a company, you confirm that you are allowed to bind that company, and "you" in these terms means the company.
You must be at least 18 years old and give accurate details when you register. One account belongs to one person, and every person on your team gets their own seat in the client portal.
2What the agency service covers
A paid plan buys ongoing management of advertising on Facebook and Instagram for the period you paid for. Depending on the plan, that work includes strategy, campaign setup and buying, new ad creatives, UGC-style videos, landing page tests, Pixel and Conversions API tracking, reporting in the portal and regular strategy reviews.
Monthly quantities, the ad spend band, the number of ad accounts, countries and seats are those listed on the pricing page for your plan at the moment you bought it. Quantities are counted as delivered or requested within the billing period. Deleting a request does not give the quantity back, and unused quantities do not roll over into the next period.
Work outside your plan, such as channels other than Facebook and Instagram, organic social media or website development beyond landing page tests, is not part of the service.
3The free store audit
Anyone can request one store audit without an account. The audit reads only publicly available pages of the address you enter and gives an automated first view of tracking, catalog, landing page and offer, together with a few creative ideas. It is a preview, not advice tailored to your business, and it carries no obligation.
A partial result is shown to visitors without an account. A registered account can unlock one full audit, once, with a watermarked download. Further audits are part of paid plans. Only submit addresses of websites you own or are allowed to analyse.
4Your ad account stays yours
We never ask you to transfer an ad account, Business Portfolio, Page, Instagram profile, Pixel, dataset or catalog to us. You give our team partner access in your own Business Settings and can remove it at any moment.
You keep ownership of your accounts, audiences, data, brand assets and the ad history they contain. Creatives, copy and reports delivered to you under a paid plan may be used by you without limit, also after the plan ends. We may keep internal working files and may describe the general nature of our work without naming you or showing your results.
You confirm that you have the rights to every logo, product photo, video, music track and claim you hand over to us, and that we may adapt them for your ads.
5Ad spend is paid by you directly to Meta
Our fee covers our work only. The money spent on ads is billed by Meta to the payment method on your own ad account, under your agreement with Meta. We do not collect, hold or resell media budget, and we do not charge a percentage of ad spend.
You decide the budget. We recommend budget changes in the portal, and we keep spend within the limits you set there. Charges, credit limits, taxes and disputes with Meta about ad spend are between you and Meta.
6Approvals and how work goes live
New creatives and campaign launches appear in the portal for approval. You can approve them or request changes. If an item gets no answer within 72 hours, it is approved automatically so your account keeps moving, unless you switch automatic approval off in the portal settings.
An approval by any member of your team with the owner or marketer role counts as an approval by you. You are responsible for the claims your ads make about your products, prices and offers.
7Compliance with Meta policies
All advertising we run follows the Meta Advertising Standards and Commerce Policies, as well as the laws that apply to your products and markets. We may refuse or stop an ad, a product or an audience setup that we consider likely to break those rules or to put your account at risk.
Meta reviews ads independently and can reject ads, restrict accounts or change its products without notice. Such decisions are outside our control. We help you appeal where an appeal is reasonable, but we cannot promise its outcome.
8No guaranteed results
Advertising results depend on your product, price, margins, website, stock, season, competition and the Meta auction. We commit to doing the work described in your plan with care and skill. We do not promise any particular return on ad spend, cost per purchase, cost per lead, revenue or number of sales.
Forecasts, benchmarks and test plans shown in audits or in the portal are estimates to help you decide, not commitments.
9Acceptable use
You may not use the service to advertise anything illegal, counterfeit, deceptive or prohibited by Meta, to collect personal data without a lawful basis, or to target people in a discriminatory way. You may not misuse the website or the portal, try to access other clients' data, overload our systems, scrape the site in bulk or resell access to the portal.
If we see a breach, we may pause campaigns, suspend portal access or end the plan. Where the breach is not serious, we first tell you what is wrong and give you a reasonable chance to fix it.
10Plans, billing and renewal
Plans are subscriptions billed in US dollars. Monthly plans renew every month. Yearly plans are paid up front for twelve months at 20 percent less than twelve monthly payments and renew every year. Card payments require 3D Secure authentication. Prices include no taxes unless stated, and you pay any taxes that apply to you.
Each company workspace holds one subscription. Moving to a higher plan or from monthly to yearly billing charges the difference straight away, and the new plan starts once that payment succeeds. Moving to a lower plan takes effect straight away, and the unused part of the current period is credited to your next invoice, never paid back to the card.
Payments are final. The only exceptions are described in the Refund Policy.
11Cancelling and ending the service
You can cancel at any time from the billing area of the portal. Cancelling stops the next renewal. Work continues until the end of the period already paid for, and that period is not refunded. When the plan ends, remove our partner access from your Business Settings. We stop all work on the account and remove our own access where we hold it.
We may end the service with immediate effect for a serious breach of these terms, for unpaid fees, or for a chargeback opened without first contacting us. We may also stop offering the service with at least 30 days notice, in which case any yearly period paid in advance and not yet started is refunded proportionally.
After the plan ends, your reports, creatives and messages stay downloadable from the portal for 90 days.
12Limits on our liability
We are not liable for ad spend, lost profit, lost revenue, lost data or indirect damage, nor for decisions or outages of Meta or other third parties. Our total liability for any claim connected with the service is limited to the fees you paid us in the three months before the event that caused it.
These limits do not apply where the law does not allow liability to be limited, such as damage caused intentionally or through gross negligence.
13Confidentiality
Both sides keep the other side's non-public business information confidential, including margins, results, plans and account data, and use it only to perform the service. This duty continues after the plan ends.
14Trademarks and independence
MetaAdsAgency is an independent agency and is not affiliated with, endorsed by or sponsored by Meta Platforms, Inc. Facebook and Instagram are trademarks of Meta Platforms, Inc.
We refer to those products only to describe the platforms we work on.
15Changes to these terms
We may update these terms when the service or the law changes. The date at the top shows the current version. Material changes are announced in the portal or by email at least 14 days before they take effect. If you do not accept a change, you can cancel before it applies.
16Applicable law and disputes
These terms are governed by the law of the country where the administrator of the service has its seat, without prejudice to mandatory consumer protection rules of the country where a consumer lives. Before going to court, please write to [email protected] so we can try to settle the matter. If any clause is found invalid, the rest of the terms stay in force.
